These Terms of Service ("Terms") constitute a legally binding agreement between you (the "Customer," "Institution," or "User") and SchoolSyntaxERP Ltd. ("SchoolSyntaxERP," "Company," "we," or "us"), governing your access to and use of the SchoolSyntaxERP software platform ("Platform") and related services. By creating an account, clicking "Accept," or using the Platform, you agree to these Terms in their entirety.
By accessing or using the Platform, you represent and warrant that: (a) you have full legal authority to enter into this agreement on behalf of the institution you represent; (b) your use of the Platform will comply with all applicable laws and regulations; and (c) you are at least 18 years of age. If you do not agree to these Terms, you must not access or use the Platform.
SchoolSyntaxERP provides a cloud-based, multi-tenant educational management platform (the "Service") that includes, depending on your subscription plan: academic management, admissions, finance and billing, human resources, payroll, examination management, attendance tracking, communication tools, reporting and analytics, and related administrative functionality.
We commit to the uptime levels specified in your subscription plan's Service Level Agreement (SLA). Scheduled maintenance windows will be communicated at least 72 hours in advance. In the event of unplanned downtime exceeding your SLA guarantee, you may be entitled to service credits as described in the applicable SLA.
SchoolSyntaxERP reserves the right to modify, add, or remove features of the Platform at any time. We will provide reasonable notice of any material changes that affect existing functionality. Removing features that are core to a paid plan may entitle you to a prorated refund for the affected period.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at security@schoolsyntaxerp.com if you suspect any unauthorized access. SchoolSyntaxERP will not be liable for any loss arising from unauthorized use of your account unless directly caused by our negligence.
Institutions are responsible for the actions of all users (administrators, teachers, staff, parents, students) who access the Platform under their institutional account.
SchoolSyntaxERP offers several subscription plans as described on our Pricing page. By selecting a plan and providing payment information, you authorize SchoolSyntaxERP to charge your payment method on the billing cycle specified (monthly or annual).
We may change subscription pricing with at least 60 days' written notice. Price changes will take effect on your next renewal date following the notice period. If you do not accept the new pricing, you may cancel before the renewal date.
Paid plans include a 30-day money-back guarantee for new subscriptions. After the first 30 days, subscriptions are non-refundable except where required by applicable law. Annual plans that are cancelled mid-term will not receive prorated refunds unless required by law.
If payment fails, we will retry the payment up to 3 times over 7 days. If payment remains outstanding, your account will be suspended (read-only access retained for 14 days, then full suspension). Overdue accounts accrue interest at 1.5% per month.
You retain full ownership of all data you upload to the Platform ("Customer Data"). SchoolSyntaxERP will not use, copy, modify, or disclose Customer Data except as necessary to operate the Platform on your behalf, as described in our Privacy Policy.
The Platform, including all software, design, documentation, trademarks, and content created by SchoolSyntaxERP, is and remains the exclusive intellectual property of SchoolSyntaxERP. Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your institution's internal operations during the subscription term.
If you provide us with feedback or suggestions about the Platform, you grant SchoolSyntaxERP a royalty-free, irrevocable license to use such feedback for any purpose without attribution or compensation to you.
You agree not to use the Platform to:
Violation of acceptable use policies may result in immediate account suspension without refund.
Each party agrees to keep the other's confidential information (including pricing, technical specifications, business information, and Customer Data) in strict confidence and not to disclose it to third parties except as required by law or as necessary to perform obligations under these Terms.
SchoolSyntaxERP warrants that: (a) the Platform will perform materially as described in the documentation; (b) we will maintain appropriate security measures; and (c) we have the right to provide the Platform to you.
EXCEPT AS EXPRESSLY STATED ABOVE, THE PLATFORM IS PROVIDED "AS IS." WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE OR UNINTERRUPTED.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCHOOLSYNTAXERP'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE PLATFORM SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL SCHOOLSYNTAXERP BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF REVENUE, LOSS OF DATA, OR LOSS OF BUSINESS OPPORTUNITY.
You agree to indemnify, defend, and hold harmless SchoolSyntaxERP and its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including legal fees) arising from: (a) your violation of these Terms; (b) your violation of any applicable law; (c) your use of the Platform in a manner not authorized by these Terms; or (d) any claim by a third party related to your Customer Data.
These Terms commence on the date you create an account and continue until your subscription is terminated.
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period (monthly) or at the end of the contract period (annual). You may export your data until the effective cancellation date.
We may terminate your account: (a) for material breach of these Terms with 30 days' written notice (or immediately for security violations); (b) if you become insolvent or enter bankruptcy; or (c) if we cease to offer the Platform (with 90 days' notice).
Upon termination, your license to use the Platform ends immediately. Customer Data will be available for export for 30 days post-termination, after which it will be deleted in accordance with our Privacy Policy.
These Terms are governed by the laws of Kenya, without regard to conflict of law principles. Any dispute arising from these Terms shall first be subject to good-faith negotiation. If unresolved after 30 days, disputes shall be submitted to binding arbitration under the Nairobi Centre for International Arbitration (NCIA) rules. Each party bears its own legal costs unless the arbitrator determines otherwise. Nothing in this section prevents either party from seeking injunctive relief from a court of competent jurisdiction to prevent irreparable harm.
SchoolSyntaxERP reserves the right to modify these Terms at any time. We will provide at least 30 days' written notice of material changes via email to the institutional administrator and an in-platform notification. Continued use of the Platform after the effective date of the updated Terms constitutes your acceptance of the changes.
